Agreement to Terms

By accessing or using JK OneSource services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Service Description

JK OneSource provides automated supply management services, including:

  • Intelligent ordering and delivery of business supplies
  • Supply coordination and vendor management
  • Inventory tracking and restocking services
  • Customer support and account management
  • Loyalty program and rewards system

Service features and benefits are detailed in our current pricing plans, which are incorporated by reference and may be updated from time to time.

Cash Back Benefits and Rewards

JK OneSource offers various cash back benefits and rewards programs. The following terms apply to all cash back benefits:

JK Digital Store Benefits

  • Benefit Availability: JK Digital Store benefits (discounts, free shipping, cash back) can be removed or modified at any time at JK OneSource's sole discretion
  • Active Subscription Requirement: All JK Digital Store benefits remain available only as long as the customer's JK OneSource subscription remains active
  • Benefit Termination: Upon subscription cancellation or non-renewal, all JK Digital Store benefits immediately cease

Cash Back Calculation and Availability

  • Annual Basis Only: Cash back amounts are calculated and made available only in the JK OneSource yearly report, issued at the end of each calendar year
  • No Mid-Year Access: Cash back cannot be accessed, used, or claimed before the annual report is issued, regardless of customer knowledge or certainty of amounts
  • Official Source of Truth: The cash back amount shown in the yearly report is the only accurate and official amount of cash back the customer is eligible to receive
  • Calculator Disclaimer: The potential annual savings calculator is an estimative tool only and does not represent any form of official cash back amount or guarantee

Cash Back Usage and Application

  • Automatic Subscription Renewal: Cash back amounts will be automatically applied first to renew the customer's JK OneSource subscription. Any remaining cash back value will be available in the customer's balance for other permitted uses
  • Permitted Uses: Remaining cash back can only be used for: (1) rebating JK OneSource order amounts, (2) paying for or rebating extra delivery costs, (3) paying for additional locations
  • No Financial Transfers: Cash back amounts cannot be transferred to the customer's bank account, credit card, or any external financial account. Cash back usage consists exclusively of deductions (rebates) on eligible financial activities within the JK OneSource ecosystem
  • Ecosystem-Only Usage: All cash back transactions must occur within the JK OneSource ecosystem and cannot be used for personal purchases, third-party services, or any activities outside the JK OneSource ecosystem
  • No Transferability: Cash back amounts are non-transferable and cannot be sold, assigned, or gifted to third parties

Referral Cash Back Terms

  • Qualification Requirements: Referral cash back is earned only if and after the referred business subscribes to JK OneSource and maintains an active subscription for a minimum of one quarter (3 months)
  • Timing of Availability: Referral cash back, like all other cash back, is available only in the yearly report and cannot be accessed before then
  • Verification Period: JK OneSource reserves the right to verify referral relationships and may require documentation to confirm legitimate referrals

Eligibility and Continuation Requirements

  • Active Subscription Requirement: The customer is eligible for cash back if and only if their JK OneSource subscription remains active until the day of cash back earning
  • No Retroactive Claims: Cash back cannot be claimed retroactively for periods when the customer's subscription was inactive, suspended, or cancelled
  • Dispute Limitation: JK OneSource cannot be sued for any litigation regarding cash back eligibility, calculation, or availability. All cash back disputes must be resolved through our standard dispute resolution process

General Cash Back Protections

  • Program Modifications: JK OneSource reserves the right to modify, suspend, or terminate any cash back program at any time without notice
  • Fraud Prevention: Any suspected fraudulent activity related to cash back programs may result in immediate termination of benefits and potential legal action
  • Tax Implications: Customers are responsible for any tax implications of cash back received and should consult with tax professionals as needed
  • No Guarantees: Cash back amounts are not guaranteed and may vary based on actual spending, program changes, or other factors beyond JK OneSource's control
  • Force Majeure: Cash back programs may be suspended during force majeure events as described in the general terms

Subscription and Billing

Our services are provided on a subscription basis with the following terms:

  • Annual subscription fees are billed in advance
  • Product costs are charged at market rates
  • Early access customers receive locked pricing
  • Additional location fees apply as specified
  • All fees are non-refundable except as required by law

Payment Terms

Payment processing and billing terms:

  • Payments are processed securely through Stripe
  • Failed payments may result in service suspension
  • Chargebacks will be handled according to Stripe's policies
  • Refund Policy: All subscription fees will be automatically refunded if cancellation occurs within 30 days after subscription. After 30 days, subscription fees are non-refundable
  • Price changes will be communicated with 30 days notice
  • Currency is in Canadian Dollars (CAD)

Customer Responsibilities

As a customer, you agree to:

  • Provide accurate and complete information
  • Maintain secure communication channels
  • Pay all fees when due
  • Comply with all applicable laws and regulations
  • Use our services only for lawful business purposes

Service Level Agreement

We commit to providing reliable service with the following standards:

  • Standard Concierge: 48-hour response time for customer inquiries
  • Premium Concierge: 24-hour response time for customer inquiries
  • Ultimate Concierge: 12-hour response time for customer inquiries
  • Delivery within agreed timeframes (subject to supplier availability)
  • Regular service maintenance with advance notice

Service availability may vary by location and supplier constraints.

Intellectual Property

Intellectual property rights and ownership:

  • JK OneSource retains all rights to our proprietary systems and processes
  • Customers retain ownership of their business data and information
  • No license is granted to use our trademarks or branding
  • Any feedback or suggestions become our property without compensation
  • Respect for third-party intellectual property rights

Data Protection

We handle your data in accordance with our Privacy Policy and applicable privacy laws. By using our services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy, which is incorporated by reference.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions. In such cases, we will make reasonable efforts to resume service as soon as possible.

Limitation of Liability

JK OneSource's liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages. This limitation applies to the fullest extent permitted by law.

Termination

Either party may terminate this agreement:

  • With 30 days written notice
  • Immediately for material breach
  • Upon non-payment of fees
  • At our discretion for violation of terms

Dispute Resolution

In the event of a dispute, we encourage resolution through the following process:

  • Direct Communication: Contact us first to resolve the issue
  • Mediation: If direct communication fails, we may engage in mediation
  • Arbitration: Binding arbitration may be required for certain disputes
  • Class Action Waiver: Disputes must be resolved individually

Governing Law

These terms are governed by the laws of Alberta, Canada. Any disputes will be resolved in the courts of Alberta. If any provision is found unenforceable, the remaining terms will remain in effect.

Changes to Terms

We may update these terms from time to time. We will notify customers of material changes via email or through our service. Continued use of our services constitutes acceptance of updated terms.
